BETA SOFTWARE LICENSE AGREEMENT

IMPORTANT — PLEASE READ THIS AGREEMENT CAREFULLY BEFORE ACCESSING, INSTALLING, COPYING, OR USING AEGENIX SOFTWARE.

This Beta Software License Agreement (“Agreement”) is a legally binding agreement between Aegenix, LLC, a Colorado limited liability company (“Aegenix,” “we,” “us,” or “our”), and the individual or entity accessing, installing, or using the Aegenix software (“Licensee,” “you,” or “your”).

If you accept this Agreement on behalf of a company or other organization, you represent and warrant that you have authority to bind that organization to this Agreement.

BY CLICKING “I AGREE,” ACCEPTING THIS AGREEMENT ELECTRONICALLY, INSTALLING, ACCESSING, COPYING, OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT INSTALL, ACCESS, OR USE THE SOFTWARE.

1. DEFINITIONS

1.1 “Software”

“Software” means the Aegenix software suite and all associated files, workbooks, executable components, macros, VBA code, scripts, templates, reports, dashboards, interfaces, algorithms, data-processing methods, documentation, graphics, designs, updates, modifications, and related materials provided by Aegenix.

1.2 “Beta Software”

“Beta Software” means any pre-release, evaluation, testing, demonstration, trial, or beta version of the Software made available before or in connection with commercial release.

1.3 “Output”

“Output” means reports, setup sheets, machinist packets, engineering summaries, dashboards, calculations, alerts, recommendations, extracted information, reformatted information, or other information produced or displayed by the Software.

1.4 “Input Data”

“Input Data” means CAM data, XML files, manufacturing information, tooling information, machine information, setup information, images, files, parameters, or other information supplied to or processed by the Software.

2. BETA SOFTWARE

THE SOFTWARE PROVIDED UNDER THIS AGREEMENT IS PRE-RELEASE BETA SOFTWARE.

Beta Software may contain defects, errors, inaccuracies, incomplete features, incorrect calculations, compatibility issues, interruptions, or other problems and may not perform as intended.

The Software is provided for evaluation, testing, and authorized manufacturing-support purposes subject to the verification requirements contained in this Agreement.

Aegenix does not represent or warrant that Beta Software is suitable for production use, mission-critical applications, safety-critical applications, or use without independent professional verification.

Aegenix may modify, update, suspend, discontinue, restrict, or terminate the Beta Software or any feature at any time.

Features present in a Beta version may be changed or removed from subsequent versions.

3. LICENSE GRANT

Subject to Licensee’s continued compliance with this Agreement, Aegenix grants Licensee a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the Software solely for Licensee’s authorized internal business purposes during the applicable beta or license period.

No ownership interest in the Software is transferred to Licensee.

All rights not expressly granted under this Agreement are reserved by Aegenix.

The Software is licensed, not sold.

4. LICENSE RESTRICTIONS

Except where expressly authorized in writing by Aegenix, Licensee shall not:

a. copy, reproduce, distribute, publish, transmit, sell, resell, sublicense, rent, lease, loan, assign, transfer, or otherwise provide the Software to another person or entity;

b. modify, translate, adapt, alter, or create derivative works from the Software;

c. reverse engineer, reverse compile, decompile, disassemble, decode, decrypt, inspect, extract, discover, or attempt to discover the Software’s source code, VBA code, algorithms, formulas, architecture, internal logic, data structures, methods, processes, or techniques, except to the limited extent such restriction is prohibited by applicable law;

d. circumvent, disable, defeat, modify, bypass, interfere with, or attempt to defeat any licensing, activation, expiration, security, access-control, copy-protection, or usage-control mechanism;

e. remove, alter, obscure, or conceal any copyright, trademark, proprietary, licensing, attribution, or other notice contained in the Software;

f. share license credentials, activation information, license files, passwords, keys, or other access mechanisms with unauthorized persons;

g. use the Software beyond the number of authorized users, devices, installations, locations, or licenses;

h. make the Software available through a public network, shared service, hosted service, software-as-a-service offering, or similar arrangement without written authorization from Aegenix; or

i. use the Software in any manner not expressly authorized under this Agreement.

5. COMPETITIVE USE RESTRICTIONS

Except with Aegenix’s prior written permission, Licensee shall not use or permit access to the Software for the purpose of:

a. developing, designing, creating, improving, testing, validating, or supporting software or services that compete with Aegenix;

b. studying, analyzing, benchmarking, evaluating, or documenting the Software for competitive product-development purposes;

c. reproducing or imitating the Software’s workflows, report structures, user-interface concepts, processing methods, algorithms, functionality, or proprietary features;

d. providing the Software, screenshots, demonstrations, documentation, internal operation, or other non-public information concerning the Software to a competitor or prospective competitor of Aegenix; or

e. using automated systems, artificial intelligence systems, machine-learning systems, code-generation tools, or similar technologies to analyze the Software for the purpose of reproducing, reverse engineering, or developing a competing product.

Nothing in this section prohibits ordinary evaluation of the Software by an authorized Licensee for determining whether the Software is suitable for Licensee’s own internal business purposes.

6. OWNERSHIP AND INTELLECTUAL PROPERTY

The Software and all intellectual property associated with it are and shall remain the exclusive property of Aegenix and/or its licensors.

This includes, without limitation, software code, VBA code, algorithms, architecture, processing methods, report-generation methods, templates, layouts, designs, workflows, interfaces, documentation, branding, graphics, and other proprietary materials.

The Software may be protected by United States and international copyright, trademark, trade-secret, and other intellectual-property laws.

Except for the limited license expressly granted under this Agreement, Licensee acquires no right, title, or interest in the Software.

7. LICENSEE INPUT DATA AND PROPRIETARY INFORMATION

As between Licensee and Aegenix, Licensee retains its ownership rights in its Input Data and other pre-existing proprietary information.

Nothing in this Agreement transfers ownership of Licensee’s CAM programs, part information, manufacturing processes, customer information, drawings, tooling information, or other proprietary manufacturing information to Aegenix merely because such information is processed by the Software.

Licensee is responsible for ensuring that it has the legal right and authorization to provide and process all Input Data used with the Software.

8. FEEDBACK AND PRODUCT IMPROVEMENT

Licensee may voluntarily provide Aegenix with comments, suggestions, ideas, bug reports, feature requests, recommendations, or other feedback concerning the Software (“Feedback”).

Licensee agrees that Aegenix may use, incorporate, develop, commercialize, reproduce, modify, and otherwise exploit such Feedback without restriction, attribution, compensation, royalty, or other obligation to Licensee.

Feedback does not include Licensee’s underlying confidential manufacturing data, customer data, drawings, CAM programs, or other pre-existing proprietary information.

9. MANUFACTURING AND ENGINEERING VERIFICATION REQUIREMENT

AEGENIX IS A MANUFACTURING INFORMATION AND DECISION-SUPPORT TOOL. IT IS NOT A SUBSTITUTE FOR QUALIFIED ENGINEERING, PROGRAMMING, MACHINING, SAFETY, OR MANUFACTURING JUDGMENT.

Output generated or displayed by the Software may be based upon Input Data originating from third-party systems or supplied by Licensee and may contain errors, omissions, inaccuracies, inconsistencies, or incomplete information.

Before relying upon any Output for machining, setup, programming, tooling, inspection, manufacturing, or other operational activity, Licensee is solely responsible for having appropriately qualified personnel independently review and verify the relevant information.

This verification includes, where applicable, information concerning:

·   tooling and tool identification;

·   tool dimensions and offsets;

·   work coordinate systems and work offsets;

·   fixture and setup information;

·   operation sequencing;

·   machining parameters;

·   feeds and speeds;

·   clearances and depths;

·   compensation values;

·   imported CAM/XML information;

·   machine configuration;

·   setup instructions;

·   calculations;

·   warnings and alerts; and

·   any other information that could affect manufacturing operations.

Licensee shall not rely upon the Software as the sole means of determining whether a manufacturing operation is safe, correct, or appropriate.

10. ASSUMPTION OF MANUFACTURING RISK

Licensee acknowledges that CNC machining and manufacturing operations inherently involve risks including equipment damage, tooling damage, fixture damage, workpiece damage, scrap, downtime, production interruption, property damage, and personal injury.

Licensee assumes responsibility for determining whether and how Output from the Software will be used in its manufacturing operations.

Licensee is responsible for maintaining appropriate machine safeguards, simulation procedures, verification processes, inspections, operator training, engineering review, backups, and other controls appropriate to its operations.

Aegenix does not control the machine tool, CAM system, CNC program, setup, operator, tooling, workholding, material, manufacturing environment, or Input Data upon which Output may depend.

11. THIRD-PARTY DATA AND SOFTWARE

The Software may process information generated by third-party software or systems.

Aegenix does not control and is not responsible for the accuracy, completeness, compatibility, availability, format, or reliability of information produced by third-party products.

Changes made by third-party software vendors to file formats, APIs, XML structures, data structures, security requirements, or other functionality may affect operation of the Software.

References to third-party products or trademarks do not imply sponsorship, endorsement, affiliation, or approval unless expressly stated.

12. NO WARRANTY — BETA SOFTWARE

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE AND ALL OUTPUT ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.”

AEGENIX MAKES NO WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, ERROR-FREE OPERATION, OR FITNESS FOR PRODUCTION OR MANUFACTURING USE.

AEGENIX DOES NOT WARRANT THAT THE SOFTWARE WILL OPERATE WITHOUT INTERRUPTION OR ERROR, THAT DEFECTS WILL BE CORRECTED, THAT OUTPUT WILL BE COMPLETE OR ACCURATE, OR THAT THE SOFTWARE WILL BE COMPATIBLE WITH ANY PARTICULAR CAM SYSTEM, MACHINE, SOFTWARE VERSION, COMPUTER, OR WORKFLOW.

13. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AEGENIX, LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, LICENSORS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO THE SOFTWARE OR THIS AGREEMENT.

WITHOUT LIMITING THE FOREGOING, AEGENIX SHALL NOT BE LIABLE FOR DAMAGES OR LOSSES ARISING FROM:

·   LOST PROFITS OR REVENUE;

·   BUSINESS INTERRUPTION;

·   LOST PRODUCTION;

·   LOST BUSINESS OPPORTUNITY;

·   LOST OR CORRUPTED DATA;

·   SCRAP OR REWORK;

·   MACHINE DOWNTIME;

·   TOOL OR TOOLING DAMAGE;

·   FIXTURE OR WORKHOLDING DAMAGE;

·   MACHINE OR EQUIPMENT DAMAGE;

·   WORKPIECE OR MATERIAL DAMAGE;

·   CUSTOMER CHARGEBACKS OR PENALTIES;

·   DELAYED DELIVERY;

·   REPLACEMENT MANUFACTURING COSTS; OR

·   RELIANCE UPON SOFTWARE OUTPUT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AEGENIX’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SOFTWARE OR THIS AGREEMENT, REGARDLESS OF THE THEORY OF LIABILITY, SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT ACTUALLY PAID BY LICENSEE TO AEGENIX FOR THE SOFTWARE DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not permit certain exclusions or limitations of liability, so portions of this section may not apply to a particular Licensee.

Nothing in this Agreement excludes or limits liability to the extent such liability cannot lawfully be excluded or limited.

14. INDEMNIFICATION

To the extent permitted by applicable law, Licensee agrees to defend, indemnify, and hold harmless Aegenix, LLC and its members, managers, employees, contractors, and agents from third-party claims, damages, liabilities, losses, costs, and reasonable attorneys’ fees arising from or relating to:

a. Licensee’s unauthorized or unlawful use of the Software;

b. Licensee’s violation of this Agreement;

c. Input Data supplied by Licensee without appropriate rights or authorization; or

d. Licensee’s manufacturing activities or Licensee’s failure to perform appropriate independent verification before relying upon Software Output,

except to the extent such claim results from conduct for which indemnification cannot lawfully be required.

15. LICENSE EXPIRATION AND TERMINATION

Beta licenses may be time-limited and may automatically expire or cease functioning upon expiration of the applicable beta or license period.

Aegenix may suspend or terminate Licensee’s access to the Software if Licensee violates this Agreement or exceeds the scope of the license granted.

Upon expiration or termination, Licensee shall cease using the Software and, if requested by Aegenix, delete or destroy copies of the Software in Licensee’s possession or control, except where retention is required by law.

Sections concerning ownership, intellectual property, Feedback, restrictions, warranties, limitation of liability, indemnification, and other provisions that by their nature should survive shall survive expiration or termination.

16. UPDATES AND MODIFICATIONS

Aegenix may issue updates, modifications, patches, replacements, or new versions of the Software.

Aegenix is not obligated to provide any particular update, functionality, support, maintenance, or continued compatibility during the beta period.

Aegenix may require acceptance of updated license terms as a condition of continued use of future versions.

17. CONFIDENTIAL OR NON-PUBLIC BETA MATERIALS

Aegenix may identify particular Beta Software, documentation, functionality, technical information, or other materials as confidential or non-public.

Licensee shall use reasonable measures to prevent unauthorized disclosure of materials expressly identified by Aegenix as confidential.

Nothing in this section restricts Licensee from discussing information that Aegenix has intentionally made publicly available.

18. EXPORT AND LEGAL COMPLIANCE

Licensee shall use the Software in compliance with applicable laws and regulations, including applicable United States export-control and sanctions laws.

Licensee shall not export, re-export, transfer, or use the Software where prohibited by applicable law.

19. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict-of-laws principles.

To the extent legally permissible, any legal action arising from or relating to this Agreement or the Software shall be brought in a court of competent jurisdiction located in Colorado, and the parties consent to the jurisdiction of such courts.

20. SEVERABILITY

If any provision of this Agreement is determined to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

21. WAIVER

Failure by Aegenix to enforce any provision of this Agreement shall not constitute a waiver of that provision or Aegenix’s right to enforce it later.

22. ASSIGNMENT

Licensee may not assign or transfer this Agreement or any rights granted under it without Aegenix’s prior written consent.

Aegenix may assign this Agreement in connection with a merger, acquisition, reorganization, sale of substantially all relevant assets, transfer of the Software business, or similar transaction.

23. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between Licensee and Aegenix concerning the Beta Software and supersedes prior or contemporaneous communications concerning its licensing and use, except for a separate written agreement expressly executed by Aegenix and Licensee.

24. ELECTRONIC ACCEPTANCE

Licensee agrees that electronic acceptance of this Agreement shall have the same legal effect as a handwritten signature to the extent permitted by applicable law.

Aegenix may maintain records showing the identity or account associated with acceptance, date and time of acceptance, Software or license version, and version of this Agreement accepted.

By selecting “I Agree”, obtaining or activating a beta license where acceptance is required, or installing or using the Software after being presented with this Agreement, Licensee acknowledges that Licensee has read, understood, and agrees to this Agreement.
